Job Description

Purpose of Position:

The Legal Counsel Trading & Shipping and Commercial provides legal advice (opinions, contracts analysis and business modalities under a.o. UK and NY law) to the Trading & Shipping and commercial teams in respect to commercial and maritime transactions and manages compliance risks.

Provides support to the Trade Controls team.

The position is based in Rotterdam, the Netherlands, which is a hub for Braskem’s operation in Europe & Asia.

Key Accountabilities:

Ensure:


  • Legal certainty in compliance with the applicable legislation and internal rules;
  • The observance of the applicable governance rules by the companies in Europe & Asia;
  • Coordination of legal advice and guidance to the commercial areas on laws and regulations that impact the Company’s operations in Europe & Asia;
  • The correct use of the Company’s Contract Management System by its users, in accordance with the Company’s internal rules;
  • The development of training programs for employees to transfer knowledge and ensure compliance with applicable policies and regulations;
  • Management of external counsel (in different jurisdictions) to assist in legal matters that require additional counsel, including assessing the quality of the work and cost efficiency.


Carry out:


  • Provide day-to-day legal advice and support to various business areas in respect of maritime (including shipbuilding/shipping finance) and commercial transactions and manage the compliance risks;
  • Review, negotiate, draft and provide advice on commercial, trading and chartering contracts for Europe & Asia (E&A), supporting teams in E&A, and manage associated risks thereof;
  • Assist in drafting and reviewing standard templates and other legal documents to provide effective and efficient legal advice;
  • General legal advice and support related to commercial claims and contingencies;
  • Support the Legal Manager/Senior Legal Counsel with legal matters related to (new) regulations/directives of the European Commission;
  • Review of normative documents (internal Policies, Directives and Procedures) drafted by other areas;
  • Provide legal advice and guidance to ensure compliance with Company policies and applicable regulations;
  • Implementation of relevant guidelines of the Corporate Legal department;
  • Perform other related duties as may be assigned from time to time.

Contribute:


  • Cooperate with all related legal topics in the Braskem European and Asian legal entities;
  • Drive the coordination of the activities relating to the legal affairs in such way to guarantee it meets the applicable legislation.


Technical / Management Knowledge


  • Law degree required in an EU country or UK (BA and LL.M.), if EU country then an additional UK LL.M. (differential);
  • 3-5 or 5-7 years work related experience or post-qualification experience in a major law firm or international corporation;
  • Knowledge to provide pragmatics legal advice (opinions, contracts analysis and business modalities);
  • Maritime and commercial law background (experience with a Multinational Group is a plus);
  • Finance operations for shipping is a plus (such as leasing to build vessels)
  • Pro-active self-starter, who can work well independently and in a team; willingness to learn;
  • Speaking: Fluency in English (required), German, Dutch and/or Portuguese (differential); Writing/Reading: Fluency in English (required), German, Dutch and/or Portuguese (differential)
